These Terms of Service (the "Terms") govern access to and use of the PixieLabs websites and web based platform (the "Platform") and related services (collectively, the "Services") provided by PixieDust Tech Ltd. (doing business as PixieLabs, "PixieLabs", "we", "us", "our").
By creating an account, accessing, or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
1) Definitions
- "Account" means an account you create to access the Services.
- "Workspace" means a team, organization, or group space on the Platform, which may include multiple users and admins.
- "User Content" means any content you or your users submit to the Services, including prompts, scripts, text, images, audio, video, files, assets, and configuration settings.
- "Output" means content generated by the Services based on User Content.
- "PX" means PixieLabs credits or tokens used for certain Services functionality, including generation, rendering, or exports as displayed in the Platform.
- "Third Party Services" means third party providers or integrations that you choose to use with the Services, including AI model providers.
2) Eligibility, Accounts, and Administration
2.1 Eligibility
You must be at least 13 years old to use the Services. If you are under the age of majority where you live, you represent that you have permission from a parent or guardian to use the Services where required by law.
2.2 Account Security
You are responsible for maintaining the confidentiality of login credentials and for activities under your Account. You must notify us promptly at support@pixielabs.ca if you suspect unauthorized access.
2.3 Workspace Admin Controls
If you use the Services through a Workspace:
- Workspace admins may manage membership, permissions, billing, settings, and access to Workspace content.
- Workspace admins may be able to view, export, or delete Workspace projects, User Content, and Outputs, depending on settings.
You are responsible for assigning admin roles appropriately.
3) The Services and Acceptable Use
3.1 License to Use
Subject to these Terms, PixieLabs grants you a limited, non exclusive, non transferable right to access and use the Services for your internal business or personal use, in accordance with your plan and these Terms.
3.2 Acceptable Use
You agree not to, and not to allow others to:
- Use the Services in violation of applicable laws, regulations, or third party rights.
- Submit User Content you do not have the right to use, including content that infringes intellectual property, privacy, or publicity rights.
- Use the Services to create or distribute illegal content, or to facilitate unlawful conduct.
- Attempt to reverse engineer, decompile, or discover source code, models, or underlying components, except to the extent permitted by law.
- Interfere with or disrupt the Services, including by attempting to bypass usage limits, access controls, or security measures.
- Use the Services to scrape, harvest, or collect personal information without authorization.
- Use the Services to create or distribute malware, phishing, scams, or deceptive content.
- Use the Services to generate content that sexualizes minors, or otherwise exploits or harms minors.
- Use the Services for high risk activities where failure could cause harm (for example medical diagnosis, emergency response, or critical infrastructure control), unless you have implemented adequate safeguards and have a written agreement with PixieLabs permitting such use.
We may suspend or terminate access for violations of these Terms.
3.3 Customer Responsibilities
You are responsible for:
- The accuracy, quality, and legality of User Content you provide.
- Reviewing Outputs before use, and deciding whether they are suitable for your purposes.
- Maintaining backups of important content outside the Services if needed.
4) Generative AI Disclosures, Outputs, and BYO API Key
4.1 Outputs May Be Inaccurate
Outputs may be inaccurate, incomplete, misleading, or unsuitable. PixieLabs does not guarantee Outputs are correct or error free, and PixieLabs does not provide legal, medical, financial, or professional advice.
4.2 Ownership of User Content and Outputs
As between you and PixieLabs:
- You retain your rights in User Content, subject to the licenses you grant below.
- To the extent permitted by law, you own Outputs you generate, subject to: third party rights in underlying materials, your compliance with these Terms, and any restrictions imposed by Third Party Services you use.
4.3 License You Grant to PixieLabs
You grant PixieLabs a worldwide, non exclusive, royalty free license to host, store, reproduce, process, transmit, and display User Content, solely to:
- provide, maintain, and secure the Services,
- generate Outputs at your request,
- comply with law and enforce policies,
- improve the Services as described in the Privacy Policy (including training and improvement unless you opt out).
4.4 BYO API Key and Third Party Model Providers
If PixieLabs allows you to provide your own API keys or accounts for Third Party Services:
- You may have a direct legal relationship with the Third Party Service and must comply with their terms.
- PixieLabs is not responsible for Third Party Services, including their availability, performance, security, or data handling.
- You are responsible for configuring Third Party Services, including any retention, logging, or training settings they offer.
- PixieLabs may relay requests and responses between you and the Third Party Service as part of providing the Services.
5) Plans, PX Credits, Billing, and Taxes
5.1 Plans and Fees
Fees, plan features, limits, and PX consumption are described in the Platform or order form. We may update pricing and plans with prior notice as required by law.
5.2 PX Credits and Packs
- PX is a usage credit system. PX amounts, unit costs, and the PX required for actions (for example renders, exports) are displayed in the Platform and may change as we improve the Services.
- PX packs are generally non refundable except where required by law, or where PixieLabs approves a refund in its discretion.
- If a payment is reversed, refunded, charged back, or found fraudulent, PixieLabs may remove the associated PX, suspend the Account, or both.
5.3 Subscriptions, Renewals, and Cancellation
- Subscriptions renew automatically until canceled.
- You can cancel at any time through Workspace admin controls or by contacting support, subject to plan specific terms.
After cancellation:
- You may continue using remaining tokens for up to 60 days after cancellation.
- After that, the account may enter a "deep freeze" state for an additional 90 days (limited access intended to allow recovery or reactivation).
- After the deep freeze period, the account and associated content may be removed, subject to legal retention requirements.
5.4 Payments
Payments are processed by Stripe or other payment processors. PixieLabs generally does not store full payment card numbers.
5.5 Taxes
You are responsible for taxes, duties, or similar governmental assessments associated with your purchase, except where PixieLabs is required by law to collect them.
6) Confidentiality
"Confidential Information" means non public information disclosed by one party to the other that is marked confidential or reasonably should be understood to be confidential.
Each party will:
- use Confidential Information only to perform under these Terms,
- protect Confidential Information using reasonable safeguards,
- not disclose it to third parties except to service providers bound by confidentiality, or as required by law.
Confidential Information does not include information that is publicly available without breach, independently developed without use of the other party's information, or lawfully received from a third party.
7) Intellectual Property and Feedback
7.1 PixieLabs IP
PixieLabs retains all rights in the Services, including software, models, tools, workflows, branding, and documentation, except for User Content and Outputs as stated above.
7.2 Feedback
If you provide feedback, suggestions, or ideas, you grant PixieLabs a perpetual, irrevocable, worldwide, royalty free license to use them without restriction or compensation.
8) Suspension and Termination
We may suspend or terminate your access immediately if:
- you breach these Terms,
- you fail to pay fees when due,
- your use poses a security risk, legal risk, or could harm PixieLabs or others.
You may stop using the Services at any time. Sections that by their nature should survive will survive termination, including confidentiality, IP, disclaimers, limitation of liability, and dispute provisions.
9) Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIXIELABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON INFRINGEMENT.
PIXIELABS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR FREE, OR THAT OUTPUTS WILL BE ACCURATE OR SUITABLE FOR ANY PURPOSE.
10) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- PIXIELABS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
- PIXIELABS'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO PIXIELABS FOR THE SERVICES IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD $100, WHICHEVER IS GREATER.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
11) Indemnification
You agree to defend, indemnify, and hold harmless PixieLabs from and against claims, damages, liabilities, and expenses arising out of:
- your User Content,
- your use of the Services in violation of these Terms,
- your violation of third party rights,
- your use of Third Party Services, including BYO API key use.
12) Governing Law and Disputes
These Terms are governed by the laws of Ontario, Canada, without regard to conflict of laws principles.
Any dispute will be brought in the courts located in Toronto, Ontario, and you consent to jurisdiction and venue there, except where applicable law requires otherwise.
13) Changes to the Terms
We may update these Terms from time to time. If changes are material, we will provide notice as required by law. Continued use after changes become effective means you accept the updated Terms.
